Chiagozie Hilary-Nwokonko (Partner) is in the top rank of Nigerian solicitors and has dealt extensively with issues of Nigerian foreign investment and corporate law, general commercial law, oil and gas, environmental law, mining law, construction law and taxation. He was a team leader in several notable energy transactions, including the listing of an oil and gas company on the Alternative Investment Market (AIM) of the London Stock Exchange in 2012, which was the largest listing of an oil and gas company at the time.

Chiagozie was also the team lead advising the following transactions:

  • Seplat and Eland on the regulatory consents required for the implementation of the merger of both companies in Nigeria. Liaised with the newly constituted competition regulator and the DPR to resolve all regulatory compliance issues surrounding the merger and represented the clients in obtaining requisite approvals.
  • Wester Ord Oil and Gas Nigeria Limited on the strategy and documentation for the evacuation of crude oil production from its marginal field. Also advised on the lifting and offtake agreement between the joint venture partners and on several disputes arising from their joint operations.
  • Hallwood Oil & Gas Inc, on the acquisition of 40% participating interest in a production sharing contract held by an indigenous company. Advised on the settlement strategy for all pending litigation on the asset and financing of the acquisition. Worked with K & L Gates on the transaction.
  • A-Z Petroleum Products Nigeria Limited on its proposed acquisition of an interest in the Hely Creek and Abigborodo marginal fields, including reviewing the non-disclosure agreement between the parties, reviewing the farm-in agreement, farm-out agreement, and regulatory approvals.
  • Matrix Energy on its acquisition of interests in several marginal fields, including due diligence on the assets and their owners, advising on transaction structure, drafting, and reviewing transaction documentation including heads of terms, term sheets, share purchase agreements, shareholders' agreements, and financing agreements.
  • An E & P company listed on the London Stock Exchange on issues relating to control of its Nigerian affiliates, including reviewing the constitutional documents and shareholders' agreements of companies in the group, joint venture agreements and financing agreements, providing a report on the extent of control
