Recognized for his corporate transactional work by IFLR1000, Shamus Crosby is a Partner based in Simpson Thacher’s Houston office. Shamus has significant experience advising sponsors and strategic investors in a broad range of corporate transactions across all areas of the energy sector, including oil and gas exploration and production and midstream, energy transition, renewables, power and utilities. Shamus counsels his private equity clients and their portfolio companies through the entire investment lifecycle, from initial investments and buyouts to structured equity and debt capital raises and exit transactions. Shamus also represents public companies in mergers and acquisitions, capital markets transactions and strategic investments. 

Recent experience includes the representation of:

  • Apollo Infrastructure in its announced $200 million preferred equity investment in FirstDigital 
  • KKR in its acquisition of a 20% non-controlling interest in Sempra Energy’s new business platform, Sempra Infrastructure Partners
  • KKR in its investment in MetroNet
  • Riverstone in providing project financing for IM3NY’s construction of a Lithium-Ion Gigafactory
  • Morgan Stanley Capital Administrators, as administrative agent, for group of prepetition term lenders and DIP lenders in connection with Sundance Energy’s comprehensive financial restructuring

  • KKR in equity commitments to Javelin Energy Partners and Western Natural Resources
  • Centennial Resource Production in the approximately $1.39 billion sale to Silver Run Acquisition Corporation in a SPAC business combination
  • Nexeo Solutions, a chemicals and plastics distributor, in its $1.575 billion merger with WL Ross Holdings Corp. in a SPAC business combination
  • First Reserve in its acquisition of Lamons Gasket Co. from Trimas Corporation and its $1.225 billion sale of Deep Gulf Energy Companies to Kosmos Energy
  • Riverstone in a joint venture with SunEdison, Inc. to own and operate domestic and international solar power projects
  • Covey Park Energy in its $2.2 billion merger with Comstock Resources and in its $225 million private placement of Series A preferred units to KKR and Magnetar
  • Northstar Terminals in the sale of its Port Arthur Terminal project to Colonial Pipeline Company
  • Enbridge Energy Partners in a $2.6 billion joint venture with Marathon Petroleum Corporation to construct the Sandpiper pipeline project
  • Noble Midstream Partners in a $200 million preferred equity commitment from Global Infrastructure Partners
  • MPLX LP in its $1 billion private offering of convertible preferred equity
  • WildHorse Resource Development in its $435 million private placement of Series A perpetual convertible preferred stock to The Carlyle Group
  • Merchant Banking Division of The Goldman Sachs Group in the acquisition of 300,000 shares of the 12% redeemable preferred stock of McDermott
  • Double Eagle Energy Permian in its $2.8 billion sale of oil and gas properties to Parsley Energy
  • Vantage Energy in its $2.8 billion sale Rice Energy, Inc.
  • Brigham Resources in its $2.55 billion sale to Diamondback Energy

Shamus received his J.D. from the University of Texas School of Law in 2009 and his B.A. in Economics from the University of Texas at Austin in 2005. He is a member of the Houston Bar Association and the Houston Young Lawyers Association. Shamus is admitted to practice in Texas.
